Director, Assistant General Counsel – Corporate & Securities

Overview As Assistant General Counsel – Corporate & Securities, you will have the opportunity to tap into your curiosity and collaborate with senior legal and business leaders worldwide. You will advise on securities, corporate governance, finance and treasury matters, and serve as a subject matter expert in general corporate and federal securities laws and regulations.
Responsibilities
Securities law expertise – counseling on SEC rules and regulations relevant to the 1934 Act periodic and current reporting, insider trading compliance, investor relations, proxy solicitations, annual shareholder meetings, and registration statements (WKSI S-3 shelf, S-4, S-8); including ESG regulatory disclosures.
Corporate governance – support the Board of Directors and committees, shareholder outreach, NYSE governance requirements, and global legal entity management.
Finance and Treasury support – advise on corporate finance and capital markets activities, including bond offerings, credit facilities, global banking arrangements, and ISDA transactions.
Corporate and securities law SME – act as an internal resource for Legal Affairs to support enterprise-wide business and functional groups.
Your Skills And Expertise To set you up for success in this role from day one, the following qualifications are required and preferred:
Juris Doctor degree from an accredited law school and member of a United States bar in good standing.
Ten (10) years of securities law practice in a corporate in-house or law firm environment with a thorough understanding of federal securities laws in a multi-industry setting.
Five (5) years of corporate secretary or assistant corporate secretary responsibilities at a sophisticated public company.
Additional qualifications that could help
Ability to work collaboratively across Treasury, Finance, External Reporting, Tax, IR, Audit, Environmental Stewardship, Communications and other functions.
Strong judgment with business context and risk awareness.
Excellent communication skills to explain complex issues to non-lawyers.
Ability to operate in a fast-paced environment and manage projects; strong writing and training material development skills; familiarity with SharePoint or MS Teams or similar tools.
Logistics
Travel: May include up to 15% domestic/international.
Relocation: May be authorized.
Location: Corporate headquarters at Maplewood, MN.
