We are currently partnered with a leading distributed energy platform that develops, finances, and operates clean energy infrastructure across the U.S. They’re seeking an Associate General Counsel to support continued growth across solar, storage, EV infrastructure, and microgrid projects. This company has a 15-year track record of delivering innovative energy solutions for Fortune 500 clients and utilities and is looking for a strategic, business-minded attorney to join their executive team. The Role
The Associate General Counsel,
reporting into the CEO , will be a key business partner on project and corporate transactions, working closely with finance, development, and leadership teams. The ideal candidate will have strong experience in renewable energy project finance and commercial contracting, with the ability to navigate complex deal structures and manage external counsel effectively. Key Responsibilities
Lead negotiations on project and corporate agreements, including PPAs, vendor, supply, and offtake contracts. Structure and close tax equity, debt, and project finance transactions. Manage M&A, joint venture, and strategic partnership documentation and due diligence. Provide guidance on corporate governance, entity formation, and internal compliance. Advise leadership on legal risk, regulatory developments, and commercial strategy. Qualifications
J.D. and active bar membership in good standing. 8–10+ years of experience in
corporate transactions, project finance, or tax equity , ideally within the renewable energy sector. Strong commercial acumen and ability to balance legal risk with business objectives. Prior experience managing outside counsel and supporting multi-disciplinary deal teams. Compensation & Location
