About the Role:

Chardan is seeking an Associate General Counsel or Senior Counsel to join our legal team. This is a hands-on, high-impact opportunity for a talented corporate lawyer to prosper in-house in a collaborative, high-energy, and fast-paced environment. You will work directly with senior leadership and bankers, personally executing legal work that supports Chardan’s innovative transactions and principal investments. Job Responsibilities:

Reporting directly to the Chief Legal Officer, you will play a critical, hands-on role in supporting Chardan’s investment banking and principal investments activities. You will be expected to personally execute the following responsibilities:

Draft, Review, and Negotiate Agreements: Prepare and negotiate engagement letters, investment-related agreements, non-disclosure agreements, organizational documents, shareholder agreements, and a variety of commercial contracts. Securities Filings and Transactional Support: Review, revise, and draft prospectuses, proxy statements, and other SEC filings and reports. Advise bankers on securities law issues and regulatory requirements impacting transactions. Cross-Functional Collaboration: Work closely with bankers, Compliance, Trading, and external counsel to support complex transactions and mitigate legal risk. Work with operational personnel at Chardan. Litigation Support: Conduct e-discovery tasks, including document collection, review, and production in response to regulatory inquiries, litigation, or internal investigations. Draft and respond to subpoenas, discovery requests, and other dispute-related correspondence. Prepare and organize materials for litigation, arbitration, or regulatory proceedings, working directly with outside counsel as needed. Principal Investments Legal Work: Draft, review, and negotiate agreements for principal investments, including business combination agreements, registration rights agreements, shareholder lockup and support agreements, and other equity-related documents. Corporate Entity Management: Oversee the formation, maintenance, and governance of corporate entities and related investment agreements. Technology-Enabled Legal Work: Support the Chief Legal Officer in firm’s adoption of AI and other contracting processing-related tools. Utilize AI-powered legal research, contract analysis, and e-discovery platforms to enhance efficiency and accuracy in legal work. Continuous Improvement:

Working directly with experienced Chief Legal Officer and other senior leadership on matters, gaining guidance while leading initiatives that expand the legal department’s capabilities and contribute to the firm’s ongoing growth and innovation

Note:

This is a hands-on role that requires direct execution of legal work. You will be expected to personally draft, review, negotiate, and manage most of your matters, rather than delegating or overseeing the work of others.

Job Qualifications:

Education : J.D. from a top-tier law school; strong academic credentials required. Experience : 4-7 years at a top 200 (preferably AmLaw 100) law firm, with significant exposure to investment banking, capital markets, or principal investments. Experience with ’33 and ’34 Act matters, M&A, and securities transactions. Preferred: Experience advising investment banks or financial institutions. Familiarity with SPACs, digital assets, or emerging financial technologies. Experience (or familiarity) with dispute resolution. International deal experience. Personal Attributes : Strategic thinker, problem solver, and effective communicator. Ability to thrive in a fast-paced, high-performance environment. Must be able to approach matters and bankers and clients with a flexible, collaborative, can-do approach, while defending the firm from risk. Egos Need Not Apply:
