Our client is seeking an attorney to join a multi‑manager, multi‑strategy investment firm as Associate General Counsel in NYC. You'll contribute to an expanding Legal & Compliance team, advising alternative asset managers across international markets. Key Responsibilities In the capacity of Associate General Counsel – Alternative Investment Management, you will assume a central role in addressing the legal requirements of a sophisticated investment firm. Your daily activities will encompass close collaboration with both internal teams and external partners as you navigate complex agreements related to capital allocations, bespoke investments, fund documentation, investor communications, regulatory filings, marketing disclosures, vendor contracts, among others.
Review, document, and assist in the negotiation of capital allocations under separately managed account agreements, ensuring strict adherence to applicable regulations.
Examine, document, and facilitate negotiations concerning investments in bespoke investment vehicles, working closely with internal stakeholders throughout the process.
Support existing commingled investment funds by updating private placement memoranda (PPMs), organizational documents, subscription documents, and investment management agreements as required.
Draft and assist in the negotiation of side letters with investors, maintaining exemplary communication and meticulous attention to detail at every stage.
Collaborate proactively with other functional groups within the firm to support new business initiatives and foster cross‑departmental cooperation.
Provide counsel on securities law and other regulatory matters relevant to the operation of private investment funds registered with the SEC and CFTC.
Interpret new and existing laws and regulations pertinent to alternative investment management, offering timely guidance to senior leadership.
Prepare and review disclosures for marketing materials to ensure accuracy and compliance with regulatory standards.
Review and negotiate vendor agreements and non‑disclosure agreements (NDAs), safeguarding the firm’s interests while cultivating positive external relationships.
Key Requirements Your established background as an attorney specializing in alternative investment management law will be indispensable for excelling as Associate General Counsel – Alternative Investment Management. You possess profound knowledge of fund formation procedures, together with practical experience navigating separately managed account structures.
Extensive experience in alternative investment management law with no less than five years of relevant practice within fund formation or separately managed account arrangements.
Comprehensive understanding of laws and regulations governing registered investment managers, including ERISA, Reg SHO, Rule 105 of Regulation M, Form ADV, Form PF, Form 13G/D, Forms 3/4/5.
Proficiency in drafting documentation about direct investment activity alongside awareness of associated legal and regulatory considerations.
Exceptional communication abilities facilitate effective collaboration across multiple functional groups within an institutional context.
Meticulous attention to detail coupled with superior organizational skills for managing intricate legal projects concurrently.
Willingness to learn about emerging technological tools utilized within financial services; readiness to adapt processes using innovative systems when appropriate.
Capacity for reviewing marketing materials for regulatory disclosures, ensuring precision and compliance at all times.
