Position: Company Secretary – Americas

Location: Ideally based in a GHD office in the central or western part of the US or Canada, but open across US and Canada.

As part of a global Company Secretariat team and working closely with the Enterprise Company Secretary, you will be responsible for the management of corporate governance, legal and regulatory obligations in the GHD Americas economic region (US, Canada, and Chile). This includes providing legal advice related to share plans and securities, managing corporate governance for Americas subsidiaries, corporate structure advice, director education, maintenance of corporate licenses, and ad hoc support for M&A due diligence. Advice related to GHD Foundation governance in the US and Canada is also required.

Hybrid work model: In-office three days a week with in-office collaboration and flexibility.

Role context: You will be part of a truly global team working on complex projects and driving change.

Responsibilities

  • Support the Enterprise Company Secretary in providing corporate governance, legal and regulatory obligations for the GHD Americas economic region (US, Canada, and Chile).
  • Provide legal advice regarding US, Canadian and Chilean share plans.
  • Oversee share issues/transfers to ensure compliance and filings are current in all relevant jurisdictions; respond to ad hoc shareholder queries with Share Registry.
  • Manage Americas corporate structure, including new registrations and de-registrations of surplus entities, under direction of the Enterprise Company Secretary.
  • Deliver all company secretarial activities for GHD entities in USA, Canada and Chile, including preparation of board agendas, papers, minutes, and resolutions; coordinate board meetings and support the Chair and directors; follow up on actions.
  • Maintain corporate records and regulatory filings.
  • Advise Americas subsidiary boards on best-practice governance and provide ongoing director education and awareness of legal/regulatory requirements.
  • Develop and coordinate director inductions for Americas subsidiaries.
  • Support Americas M&A due diligence as required.
  • Advise on governance and regulatory obligations of GHD Foundation in the US and Canada.
  • Mentor and develop the Assistant Company Secretary – Americas.
  • Collaborate with the Americas Legal Team to manage the Americas license portfolio.
  • Promote and maintain GHD’s compliance framework and develop compliance policies, processes and procedures.
  • Travel as needed.

Qualifications

  • 10+ years of legal experience in Canada corporate law firm and/or in-house environment.
  • Relevant tertiary and professional qualifications, including admission in good standing to a US or Canada bar.
  • Data-savvy with strong commercial/financial foresight or proven delivery experience.
  • Discretion with high levels of trust and confidentiality; aligns with GHD’s values.
  • Strong client focus with a genuine desire to assist shareholders, boards and team members.
  • Ability to engage in limited travel as needed.
