This position is ideally based in a GHD office in the central or western part of the US or Canada but is open across the US and Canada. You will be part of a global Company Secretariat team and work closely with the Enterprise Company Secretary. You will be responsible for the management of corporate governance, legal and regulatory obligations in the GHD Americas economic region (US, Canada, and Chile).

This role includes providing legal advice related to the operation of GHD’s share plans and securities issues in the region, managing all corporate governance activities for GHD’s Americas subsidiaries, offering corporate structure guidance, director education, maintenance of corporate licences, and ad hoc support for the M&A team during acquisitions in the Americas (including corporate due diligence). Advice related to the corporate governance, legal and regulatory obligations of GHD Foundation (registered charities) in the US and Canada is also required.

What you will do

  • Support the Enterprise Company Secretary in providing the corporate governance, legal and regulatory obligations for GHD Americas (US, Canada, and Chile). This includes:
  • Provide legal advice related to US, Canadian, and Chilean share plans.
  • Oversee share issues/transfers to ensure exemptions are maintained and filings are current in all relevant jurisdictions.
  • Collaborate with Share Registry to respond to ad hoc shareholder queries.
  • Manage the Americas corporate structure under the direction of the Enterprise Company Secretary, including new registrations and de-registrations of entities as needed.
  • Deliver all company secretarial activities for GHD entities incorporated in USA, Canada, and Chile, including preparation of board agendas, board papers, minutes and resolutions; ensure meetings are convened per legal requirements; coordinate board meetings; support the Chair and directors; and follow up on actions.
  • Maintain corporate records and manage regulatory filings.
  • Advise Americas subsidiary boards on good practice in corporate governance and provide ongoing learning opportunities for directors and officers; ensure awareness of applicable legal and regulatory requirements.
  • Develop and coordinate director inductions for Americas subsidiary companies.
  • Support Americas M&A due diligence as required.
  • Provide guidance on corporate governance, legal and regulatory obligations of GHD’s registered North American charities (GHD Foundation USA and Canada).
  • Mentor and facilitate the development of the Assistant Company Secretary – Americas.
  • Collaborate with the Americas Legal Team to manage the Americas corporate license portfolio.
  • Promote GHD’s compliance framework to safeguard the integrity of the organization.
  • Develop, implement, communicate and maintain compliance policies, processes and procedures.
  • Travel limited as needed.

What you will bring to the team

  • 10+ years of legal experience in a Canada corporate law firm and/or in-house environment.
  • Relevant tertiary and professional qualifications (including admission in good standing to a US or Canada bar).
  • Data savvy, with strong commercial/financial foresight or proven experience in delivery.
  • Reputation for high levels of trust, discretion and confidentiality; a role model for GHD’s values.
  • Strong client focus and a genuine desire to assist shareholders, board and team members.
  • Ability to engage in limited travel as needed.
