Senior Legal & Compliance Researcher @ Partnership Employment
Responsibilities: Lead and support the negotiation of contracts and legal arrangements with a broad range of counterparties, including distribution partners, external managers, service providers, and alternative investment sponsors (e.g., business development companies, non-traded and private REITs, and other closed-end investment structures). Draft, review, and refine offering and disclosure materials for both publicly registered and privately placed investment products. Partner with compliance and regulatory teams to address core requirements of key federal securities laws, including analysis of affiliated transactions, multi-tier investment structures, and advisory/distribution-related matters. Provide legal insight on product development initiatives, including modifications to existing offerings and the design of new investment solutions. Coordinate engagement and workflow with external legal counsel across areas such as fund formation, investment structuring, regulatory submissions, and corporate governance. Review and provide guidance on sales and marketing materials to ensure alignment with applicable SEC and FINRA guidelines. Prepare and assess a range of legal documents including service agreements, confidentiality contracts, and partnership terms. Handle specialized legal research assignments as needed in support of ongoing or ad hoc business initiatives. Qualifications 7+ years of fund formation experience within the registered fund or mutual fund space Strong knowledge of the 1933 and 1940 Act Member in good standing of New York Bar or another state or jurisdiction Law firm or in-house experience at an asset management firm is a plus Strong interpersonal and leadership skills Willingness to learn new topics and work in an evolving business environment Organized and detail-oriented with big picture capabilities
