Overview Position: Managing Counsel – Legal & General Counsel
Location: United States (Remote/work status may transition per business needs)
Supervisor: General Counsel
FLSA Status: Exempt • Position Status: Permanent, Full-Time
Company: Hanwha Qcells USA Corp (Qcells USA) focuses on utility-scale solar modules, PV, and battery energy storage systems (BESS) project development, EPC services, and turnkey solutions across the US.
Summary: Seeking a Managing Counsel to support the EPC team with the entire contract cycle for turnkey solar, solar plus battery energy storage, and standalone BESS projects. Responsibilities include reviewing, drafting, and negotiating EPC agreements, service contracts, procurement contracts for equipment and materials, and other construction-related agreements. The Managing Counsel will assist the General Counsel in developing and implementing legal strategies and maintaining operations within the bounds of the law. This role may require travel up to 25% and reports to the General Counsel or as designated by senior management.
Essential Job Function & Responsibilities
Serve as a legal expert and primary counsel for issues arising during the construction of turnkey utility-scale solar and battery storage projects.
Structure, draft, review, and negotiate EPC Agreements, service contracts, procurement contracts for equipment/materials, and related construction agreements for solar and energy storage projects.
Provide general legal support to finance, development, construction and operations teams on project-related issues.
Advise business teams on construction issues, including change orders, contract notices (e.g., force majeure), potential disputes, and post-construction warranty claims.
Collaborate with internal partners and lead multi-disciplinary teams to shape company policies and best practices.
Proactively identify creative solutions to complex problems to support company goals and priorities.
Manage external counsel and coordinate with internal legal team members to deliver legal services.
Manage legal support staff, providing leadership, direction, and training as needed.
Oversee internal administrative processes to meet the needs of the legal team and the company in a timely manner.
Lead the drafting, updating, and maintenance of contractual templates and improve internal file organization and document retention strategies.
Perform other duties as assigned by the General Counsel or senior management.
Required Qualifications
6+ years of relevant experience
Strong background in commercial contracts
EPC experience required
Top law firm training preferred
Experience in the energy industry required
Active Membership in at least one state bar
Salary The anticipated starting pay range is $255,000 – $300,000 base salary per year for Irvine, CA location. The salary range is subject to California Pay Transparency Act requirements and may vary by location and other factors, including experience, education, licenses, and internal pay equity. Bonus opportunities and benefits may be offered as part of the overall compensation package.
Physical Demands
Stationary position: frequently stationary up to 90% of the time and seating up to 8 hours per day
Move/Traverse: infrequently bend, stand, stoop, and/or walk
Carry Weight: infrequently lift objects up to 10 pounds
Hearing and Speech: able to communicate clearly with regular verbal interaction
Sight: able to read computer screens and documents
Climb: occasional ascents/descents of stairs
Travel: up to 25% as needed
Work Environment
Professional office setting; noise ranges from low to moderate
Construction sites may have moderate to high noise levels
Role may transition to onsite or hybrid arrangement per office policy
