Description
Title: Managing Counsel Department: Legal & General Counsel Location: Hybrid Supervisor: General Counsel FLSA Status: Exempt Position Status: Permanent, Full-Time Work Status: Hybrid Overview: Hanwha Qcells USA Corp (Qcells USA) provides turnkey solutions for utility-scale solar, solar-plus-battery energy storage, and standalone BESS projects, including EPC services and project development. The Managing Counsel will support the EPC team with the full contract cycle, reviewing, drafting, and negotiating EPC, service, procurement, and other construction-related agreements. The role supports the General Counsel in developing and implementing legal strategy and ensuring operations stay within legal boundaries. Travel up to 25% may be required. This position is located in Irvine, CA. Salary: The base pay range is $255,000 - $300,000 per year, subject to location and experience. Summary: Seek a Managing Counsel to support the EPC team through the contract lifecycle for turnkey solar, solar plus battery energy storage, and standalone battery projects. Responsibilities include reviewing, drafting, and negotiating EPC and related contracts; supporting finance, development, construction, and operations teams; advising on change orders, notices, disputes, and warranty claims; and helping develop company policies and best practices. The role reports to the General Counsel or designee. Essential Job Function & Responsibilities Serve as the primary legal counsel for issues arising during the construction of turnkey utility-scale solar and energy storage projects. Structure, draft, review, and negotiate EPC agreements, service contracts, procurement agreements for equipment/materials, and related construction documents. Provide general legal support to finance, development, construction, and operations teams. Advise business teams on construction issues, including change orders, notices under EPC and procurement agreements, force majeure considerations, disputes, and warranty claims. Influence cross-functional decision-making by collaborating with internal partners and leading multi-disciplinary teams to develop company policies and best practices. Proactively identify and develop creative legal solutions to achieve company goals. Manage external counsel and coordinate with internal legal team members in delivering legal services. Manage legal support staff and provide leadership, direction, and training. Oversee internal processes to ensure timely, professional support for the legal team and company. Lead efforts to draft, update, and maintain contractual templates and improve document organization and retention. All other duties as assigned by the General Counsel or senior management. Qualifications 6+ years of relevant experience Strong background in commercial contracts EPC experience required Top law firm training preferred Experience in the energy industry required Active membership in at least one state bar Salary range note: The anticipated starting pay range is $255,000 - $300,000 base salary per year for Irvine, CA. Actual compensation depends on various factors, including location, experience, and company policies. A discretionary bonus and benefits may be offered.
