LHH is assisting a national law firm with finding a skilled Corporate Governance Paralegal to join a dynamic legal team in Illinois. This role supports high-impact corporate transactions and governance initiatives, with a focus on mergers and acquisitions (M&A). Corporate Governance Paralegal – M&A Experience Location
Chicago, IL Salary
$80,000 – $100,000 per year Benefits
Benefits package including health, dental, vision, and 401(k), paid sick leave where applicable by state law. Key Responsibilities
Assist with corporate governance matters including entity formation, maintenance, and compliance. Prepare and file corporate documents with state and federal agencies. Maintain corporate records, minute books, and organizational charts. Coordinate board and committee meetings, including drafting resolutions and minutes. Collaborate with internal legal and business teams to ensure regulatory compliance. Support M&A transactions team with due diligence, closing documentation, and post-closing integration. Qualifications
5+ years of experience as a corporate paralegal. M&A experience is a plus. Strong understanding of corporate governance principles and legal terminology. Proficiency in Microsoft Office Suite and legal research tools. Excellent organizational and communication skills. Paralegal certification or relevant legal education preferred. Why Apply?
