Dimensional's Legal division is an in-house team of client-focused attorneys, paralegals, and legal assistants who partner with internal and external teams to help provide legal expertise across business functions, legal systems, and jurisdictions. This Funds & Investment Management Counsel role will assist with day-to-day legal needs in support of Dimensional’s institutional and sub-advised fund clients. Work will include providing advice with respect to federal, state and international securities law analysis and compliance. This position will report to the Vice President and Lead Counsel for the firm’s institutional and sub-advised fund client matter. Responsibilities

Support the firm’s sub-advised fund and funds of funds business, including negotiating and drafting sub-advisory agreements, commenting on registration statements, engaging in the sub-advised funds’ 15(c) process (including portfolio management discussion and analysis, comparative fee reporting), and assisting with responses to sub-advised client inquiries. Negotiate investment management agreements and other contracts and related amendments with institutional investors and financial service intermediaries. Review and coordinate the work of multiple internal groups in connection with the creation of new fund products and ongoing maintenance of existing products. Assist the firm with compliance with applicable federal, state or multi-jurisdictional regulatory law, including analysis and assistance in connection with implementation of new regulatory initiatives. Review and interpret statutes, rules and policies relevant to the regulatory functions of Dimensional, its corporate subsidiaries and its fund complexes, and work with clients to meet their business objectives in the applicable regulatory environment. Serve as legal consultant to internal business clients for special projects. Prepare and, when requested, present materials such as memoranda, agendas, and meeting minutes for internal meetings, committee meetings, or the meetings of the various Boards of Dimensional, its subsidiary companies and/or its fund complexes; identify legal issues and provide legal advice of importance to the Boards. Facilitate communication among all major stakeholders, including senior management and control functions. Qualifications

3-7 years of practice in a top-tier law firm, company or government agency handling legal and regulatory issues relating to registered investment products. Substantial knowledge of federal securities law and corporate law; familiarity with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 is highly desirable. Knowledge of investment management agreements, filings with the SEC, securities regulatory work, investment adviser and/or mutual fund issues is highly desirable. Detail oriented, organized and professional; JD from a top law school; member of a US state bar. Very strong verbal and written communication skills, with ability to communicate with non-lawyer business partners in a clear and understandable way; able to work well in a team environment. Self-starter who is capable of managing multiple projects and meeting deadlines. Technical fluency, including proficiency with Microsoft Office Suite and other legal technology (ebilling, legal document repository, legal research tools), and willingness to learn and adapt to new technology.
