Reporting to the Vice President, General Counsel (Corporate), provide primary legal support for the drafting, review, and negotiation of system contracts in the areas of real estate, construction, commercial and office leases for Froedtert ThedaCare Health, Inc. (FTCH) internal contract stakeholders and other organization leaders, consistent with FTCH’s mission, vision, and enterprise values; provide legal counsel and advice for non‑clinical arrangements with health care providers, dispute resolution, and compliance with applicable regulations. Responsible for providing legal oversight and counsel on property and other tax issues impacting FTCH, including management and administration of the drafting, review, and negotiation of tax‑related transactions, negotiations with taxing authorities and compliance with applicable regulations. Support the Chief Legal Officer, Vice President - General Counsel (Corporate) and Vice President - General Counsel (Health Law) as follows: (a) to support strategic transactions such as mergers, acquisitions, entity reorganizations, business arrangements and investments, joint ventures, syndications and key transactional initiatives; and (b) in the development and implementation of legal strategies that align with the system’s mission and growth goals, including driving continuous improvements in corporate operational and regulatory management, governance and board matters, policy management and administration, and contract administration and processes. Responsibilities
Draft, review, and negotiate system contracts in real estate, construction, commercial and office leases for FTCH internal stakeholders and leaders; provide legal counsel on non‑clinical health care arrangements, dispute resolution, and regulatory compliance. Provide legal oversight on property and tax issues, including tax‑related transactions and negotiations with taxing authorities; ensure compliance with applicable laws and regulations. Support strategic transactions and the development of legal strategies that align with the system’s mission and growth goals; contribute to governance, policy management, and contract administration improvements. Experience
Minimum 5–8 years of relevant contracting experience in a nonprofit setting or with a law firm serving nonprofit clients; strong preference for hospital or health system experience. Experience negotiating, implementing and managing large, complex real estate and construction projects is preferred. Education
Juris Doctorate (JD) from an accredited law school is required. Special Skills
Deep understanding of federal and state laws governing real estate, construction, leases and property tax. Strong leadership, communication and management skills; project management; excellent legal research and writing; attention to detail; ability to work independently and as part of a team; strong interpersonal skills. Proficiency in legal software and Microsoft Office Suite; commitment to the system’s mission, values, and professional development. Licensure
Licensed to practice law as in‑house counsel in Wisconsin or eligible to seek admission to practice in Wisconsin upon hire; in good standing. Seniority
