This is an excellent opportunity for a mid-level associate to gain hands-on experience in complex transactions across the traditional energy sector, with the ability to work on both established oil and gas matters and innovative energy transition projects. of substantive experience in
energy-related corporate transactions . Background in
one or more
of the following within the
upstream and midstream
oil and gas sectors : Mergers and
acquisitions
(M&A),
divestitures ,
joint ventures ,
development agreements ,
operating agreements , and/or
commercial contracts . Experience
drafting
and
negotiating
gathering,
transportation ,
processing ,
supply , and
offtake agreements
related to
carbon capture
and
energy transition projects
is
highly valued . Strong drafting, negotiation, and analytical skills; business-oriented approach to client service; and ability to manage complex matters within a collaborative team environment. Key Responsibilities
Advise clients on transactional matters in the energy industry, including upstream and midstream oil and gas, as well as emerging energy transition projects. Draft, review, and negotiate a wide range of agreements, including gathering, transportation, processing, supply, offtake, joint venture, and operating agreements. Support clients on M&A transactions, divestitures, and project development initiatives. Provide strategic legal advice tailored to client business objectives and regulatory considerations. Collaborate with colleagues across practice groups to provide integrated solutions to energy clients. Annual base salary is expected to start at
$310,000+ , depending on experience, qualifications, and market factors. Discretionary
bonus
