Job Summary UDC’s Corporate Counsel will report to UDC’s VP, Deputy General Counsel and serve as a trusted advisor to the business, providing practical, timely and strategic advice across a range of corporate, commercial and compliance matters. The role will partner closely with internal stakeholders to support day‑to‑day operations, manage legal risks, and ensure compliance with applicable laws and regulations. The position requires strong judgment, business acumen, and the ability to thrive in a fast‑paced, high‑volume corporate environment, supporting both U.S.-based and international clients and operations.
In this hands‑on role, the candidate must have a strong work‑ethic and be a self‑starter who can work both independently and as a part of a highly collaborative international team. The candidate must possess strong legal drafting and negotiating skills. The individual must be client‑service focused and be able to prioritize and execute on numerous projects simultaneously. The ability to balance superior attention to detail while maintaining an awareness of the big picture are a must.
Key Responsibilities
Negotiate, draft, review and advise on commercial agreements, with an emphasis on customer agreements and amendments, vendor agreements, software licensing and technology agreements, intracompany agreements, consulting agreements and non‑disclosure agreements
Assist in the drafting and filing of the Company’s SEC filings, including the annual proxy statement, 10‑Ks, 10‑Qs and 8‑Ks
Partner with business leaders and cross‑functional teams to enable business initiatives while ensuring legal and regulatory compliance
Develop, implement and oversee policies, licensing programs, procedures and training to promote compliance and mitigate risk
Support the Company’s Legal staff in the preparation for Board and committee meetings, drafting of minutes and consents and Section 16 filings, and management of other governance matters
Support the Company’s venture capital group, UDC Ventures, in making pre‑IPO minority investments in various technology companies, including undertaking due diligence and integration activities
Advise on data privacy, intellectual property and risk management issues
Coordinate with outside counsel as needed
Perform other duties and special projects as may be assigned
Qualifications
Juris Doctor (JD) degree from an accredited law school
Minimum of 3 years of experience practicing corporate law, in a law firm or in‑house legal department
Experience in a complex and highly regulated environment is preferred
Current New Jersey bar admission in good standing, or in good standing in another U.S. jurisdiction with ability and interest in becoming licensed in New Jersey
Technologically savvy and possesses a willingness to use technology to continually create efficiencies in legal‑related processes
Ability to travel on a limited basis, when and if needed
International/global experience a plus
