Role We are searching for our first

Corporate Counsel

to join Hack VC. In that role, you will manage several key legal workstreams, including across venture deals, fundraising, and compliance, and you will report directly to the firm’s General Counsel and Chief Operating Officer. You will also be asked to assist in other important areas of the firm as needs may (and invariably will) arise. The right candidate for this role will be a crypto-loving—or at minimum curious—deal or fund whiz who wants to help run and grow one of the leading venture firms in crypto.

Responsibilities for this Role

Run point on all deal-related matters, including token agreements (token warrants, SAFTs, token purchase agreements), safe financings, priced rounds, debt instruments, and acquisition agreements, among many others, and oversee post-closing and portfolio company-related compliance.

Support the firm’s various fundraising activities, including new fund and special purpose vehicle formation (LPAs, side letters, subscription agreements, Form D filings, etc.), fund closings, limited partner diligence, placement agent relationships, and other fundraising projects.

Assist the firm’s GC and COO on general corporate matters, including firm governance, firm policies, employee and contractor matters, and vendor oversight, among others, and draft and negotiation ManCo and GP-related agreements (authorizations and consents, service provider agreements, NDAs, employment and contractor agreements, GP operating agreements, carried interest-related agreements, etc.).

Assist the firm’s CCO to ensure compliance with the firm’s regulatory and legal compliance obligations, including Advisers Act requirements (employee forms, marketing materials, etc.), LP side letters, etc.

Collaborate with different team members on special legal and non-legal projects, including on automating and optimizing the firm’s legal and compliance functions, with a focus on implementing AI solutions.

Collaborate with and provide advice to the firm’s portfolio companies on regulatory and related issues.

Work closely with outside counsel in a cost-effective manner to meet the firm’s goals on all the above.

Role Requirements

J.D. from a top-tier law school with strong academic performance.

Member of the California or New York bar (or eligible for in-house counsel registration).

Up to 4 years at a leading law firm in a relevant practice group (emerging companies, venture capital, blockchain, digital assets, or fund formation).

Elite communication, analytical, and organizational skills.

Excellent judgment (you’ll be making difficult decisions daily—and you’ll need to be decisive (and right)).

Insanely proactive, ownership-oriented mindset; identifies issues early and drives them to closure.

Comfort in complex situations; passion for solving mind-bending, first-time legal questions.

Passionate (or at least curious) about crypto.

Expected salary range: $200,000 to $250,000 plus potential for carried interest.
