AXA XL
is seeking an experienced M&A Insurance Underwriter to join our global Mergers & Acquisitions Insurance division. This unit focuses on underwriting transactional risk insurance solutions for private equity firms and corporate buyers operating worldwide.
Overview The division, established in 2017, has expanded its product suite to key clients, providing efficient mechanisms to close deals and reduce uncertainty. AXA XL’s M&A unit is now scaling by filling an Underwriter II position in the New York office to support its business functions.
Responsibilities
Review public and private M&A transaction documentation, due diligence reports, and target company financial statements to identify deal risks and assess financial strength.
Draft and submit custom-tailored quotes for proposed M&A insurance policies and follow up with brokers to win new business.
Interact with the M&A management team, leading the underwriting process on transactions, including detailed analysis of underwriting calls and due diligence reports.
Negotiate and draft insurance policy terms and language addressing transaction risk.
Collaborate with outside legal counsel and accountants to represent AXA XL with due diligence on each transaction.
Develop and cultivate relationships with M&A insurance brokers, lawyers, private equity firms, deal principals, and internal AXA XL colleagues.
Gather underwriting information via publicly available sources and complete underwriting analysis for each unique risk.
Conduct financial analysis on target companies and potential insureds.
Qualifications
Corporate experience in a transaction-oriented role such as M&A insurance underwriting, investment banking, private equity, or a financial services advisory capacity.
Knowledge of transactional legal exposures (warranty breaches, tax structuring issues, litigation, and computation and measurement of damages).
Ability to comprehend financial statements and address tax issues and other commercial matters.
Financial accounting and auditing experience a plus.
Experience procuring, broking, or negotiating representations and warranties insurance on behalf of deal clients is a strong plus.
Excellent written and oral communication skills.
Effective negotiating skills and comfort working with legal documents.
Self‑starter, highly focused, enthusiastic, and creative thinker capable of working independently with minimal oversight.
Well‑rounded interpersonal skills and collaboration within a team environment is essential.
Organized and able to work in a fast‑paced environment with tight deadlines and deal‑time pressures.
Juris Doctorate degree strongly preferred; bachelor’s degree in finance, accounting, economics or business a strong plus but not required.
