Responsibilities
Provide legal support for M&A transactions, including due diligence, drafting and negotiating term sheets, purchase agreements, and ancillary transaction documents.
Advise on corporate governance matters, entity formation, capitalization, and internal reorganizations.
Assist with corporate transactions, financings, and other strategic initiatives as needed.
Collaborate with finance and tax teams on structuring and executing corporate transactions.
Manage outside counsel on transactional and specialized corporate matters.
Ensure compliance with applicable corporate, securities, and regulatory requirements.
Lead and coordinate post‑acquisition integration activities, including aligning legal entities, contracts, and compliance obligations across the combined business.
Requirements
J.D. from an accredited law school; licensed to practice law in the jurisdiction of residence/practice.
4–6 years of experience practicing corporate law, mergers & acquisitions, or transactional practice at a law firm and/or in‑house legal department, with public‑company experience preferred.
Experience in the aerospace, defense, or technology industries is strongly preferred.
Excellent drafting, negotiation, and analytical skills with the ability to handle complex transactions.
Familiarity with securities, antitrust, and regulatory considerations in M&A transactions.
Exceptional communication and interpersonal skills, with a practical and business‑oriented approach to problem‑solving.
Proven ability to manage multiple projects and work effectively in a fast‑paced, cross‑functional environment.
