Salary : $120000 - $150000 Key Responsibilities
Manage M&A-related litigation, including disputes over earnouts, purchase price adjustments, breach of representations and warranties, indemnity claims, and shareholder disputes. Handle all phases of litigation autonomously — from pleadings, discovery, and motion practice to settlement negotiations and trial. Collaborate with the transactional M&A team to proactively identify and mitigate legal risks during deal structuring and negotiations. Draft and argue motions, take and defend depositions, and prepare legal memoranda, trial briefs, and related litigation documents. Interface directly with clients, experts, and opposing counsel, delivering high-level legal guidance and strategy. Monitor legal trends and developments in corporate and M&A litigation, providing insights to internal teams and clients. Job Requirements
Required Qualifications
Juris Doctor (JD) from an accredited law school. Admission to the New Jersey Bar is required. Admission to the New York Bar is strongly preferred. 3–5 years of litigation experience, with demonstrated exposure to M&A or corporate transaction-related disputes. Strong knowledge of corporate deal structures and legal frameworks governing M&A transactions. Excellent research, writing, analytical, and courtroom advocacy skills. Proven ability to manage a docket independently and work in a fast-paced legal environment. Preferred Qualifications
Experience handling arbitration or cross-border transaction disputes. Background in financial analysis or accounting related to M&A litigation. Previous experience in a law firm with a strong M&A or corporate litigation practice. #IND2 Contact Details
