General Counsel for the Drilling Services
to join our Boart Longyear team in Salt Lake City, UT. This role is critical as the chief legal and compliance officer for the business, advising the CEO and senior leadership on all legal, regulatory, contractual, and risk matters. This executive will oversee global legal strategy, ensure compliance with international regulations, manage external counsel, and support operational decision-making to achieve business goals while mitigating legal and reputational risk. The ideal candidate brings deep experience in industrial services, drilling, mining, or energy sectors, with demonstrated success leading complex cross-border legal matters, contracts, and compliance programs.

Responsibilities
Strategic Legal Leadership Serve as the primary legal advisor to the Drilling Services CEO and Executive Team. Provide strategic legal counsel on contracts, compliance, litigation, transactions, and business operations. Advise on corporate governance, M&A, joint ventures, and risk management. Ensure legal strategies align with business growth and operational priorities. Commercial Contracts & Negotiations Draft, negotiate, and manage drilling and service contracts, master service agreements, vendor and supplier agreements, and client proposals. Develop standardized templates and playbooks for consistent global contract practices. Partner with commercial, finance, and operations teams to ensure optimal risk allocation. Regulatory Compliance & Ethics Lead compliance programs across all operating regions (U.S., Canada, Chile, Argentina, Australia, Africa, Laos, and Poland shared services). Oversee compliance with environmental, labor, export, anti-bribery, anti-corruption, and trade regulations. Manage investigations, audits, and compliance reviews. Maintain policies related to ethics, anti-corruption, data privacy, and legal governance. Litigation & Risk Management Oversee litigation strategy, claims management, and dispute resolution processes. Manage external counsel for employment, environmental, contractual, and regulatory cases. Develop preventive strategies to reduce liability exposure across drilling operations. Oversee insurance claims and related risk-mitigation efforts. Corporate Governance Support the CEO and Board in governance activities, including board resolutions, meeting materials, and regulatory filings. Provide legal input on subsidiary management, shareholder matters, and global structure. Ensure compliance with corporate policies and SEC / U.S. legal reporting standards where applicable. Transactions & Growth Initiatives Lead or support M&A due diligence, divestitures, and strategic partnerships. Partner with Finance to structure and execute deals. Review and negotiate joint venture agreements, technology licenses, and international business arrangements. Leadership & Team Development Build and lead a high-performing legal and compliance function for the division. Manage external legal budgets and select outside counsel strategically. Serve as a mentor and business partner to leadership, emphasizing practical, solution-oriented legal guidance. Minimum Qualifications
Education : Juris Doctor (J.D.) from an accredited U.S. law school. Active membership in at least one U.S. state bar (Utah preferred). Experience : Minimum 12–15 years of progressive legal experience, with at least 5 years in a senior or executive in-house role. Background in drilling, mining, oil & gas, industrial services, or manufacturing preferred. Experience advising across multiple jurisdictions and managing complex contracts and disputes.
