About The Role We are looking for a Legal Counsel, Commercial, to help drive Ramp’s next phase of growth. Reporting to the Senior Counsel, Commercial, you’ll be a key partner for other teams at Ramp and responsible for reviewing, negotiating, and advising on contracts with vendors, partners, and customers. You will be an integral part of the Legal team as we strive to provide exceptional and efficient strategic legal and business advice. The team’s goal is to enable Ramp to help our customers succeed while limiting Ramp’s material legal risks. We value pragmatism and business acumen as well as the ability to quickly identify material legal risks. What You’ll Do
Review, revise, and negotiate all types of sales, partnership, and procurement agreements
Provide commercial legal advice to sales, partnership, and procurement teams
Negotiate and draft agreements, amendments, NDAs, and other legal documents
Ensure compliance with relevant company policies
Work closely with deal desk to build processes and tools for negotiating sale agreements at scale
Help build new processes to improve our team’s and Ramp’s efficiency
Drive consistency across deals by helping to optimize, streamline, and standardize contractual language
Provide ad‑hoc legal advice where needed
Assist in building playbooks and pre‑approved terms
Help organize and create legal training for our Ramp colleagues
What You’ll Need
A juris doctor (J.D.) degree from an ABA‑accredited law school
2-4 years of professional experience as an attorney (this is a junior counsel role)
Licensed in any U.S. state
Exceptional communication skills, written and verbal
Prior experience negotiating technology/SaaS agreements, NDAs, and data processing agreements
Excellent project management instincts
Ability to dissect problems, identify solutions, and drive these solutions to completion with a high degree of autonomy (“get things done” mentality)
True team player with a track record of successful cross‑functional collaboration
Nice to Haves
Graduated from a top‑ranked law school or has demonstrated academic excellence
Working knowledge of Ironclad, Google Workspace, and Microsoft Word
Prior experience in high‑growth startups and/or high‑growth technology companies
Prior experience working with procurement teams and/or sales teams
Prior experience working with Fortune 1 000 companies as customers and/or vendors
