URUS is seeking a dynamic and experienced
Senior Paralegal or Mid-Level Transactional Attorney
in its Madison, Wisconsin, office to support its worldwide agriculture services biotech business. The employee will work closely with the General Counsel and will be a key contributor to the legal team. This role will assist in the management of the legal support function across all geographies, ensuring a high level of service to internal and external stakeholders, while protecting the best interests of the company and its officers. Support areas will include, but not be limited to, contracts, intellectual property management, mergers and acquisitions, litigation, claims & disputes, corporate governance, compliance, and risk management. Key Responsibilities
Assist the General Counsel in advising executive leadership and management team on a broad range of operational activities and business decisions. Negotiate, draft, and advise on key agreements and contracts, with the supervision and at the direction of the General Counsel. Help to manage the business’ contract database and contract management system with support from the legal team. Advise and work alongside internal clients and stakeholders across all areas of the company regarding legal risks of various transactions and initiatives Comply with all applicable laws, rules and regulations in the performance of duties, and help the business strictly comply with all applicable laws, rules and regulations. Help the legal team stay abreast of regulatory changes and advise the General Counsel on any recommended adjustments to maintain compliance. Assist with the management of the business’ outside counsel. Help the legal team stay abreast of legislative changes that may affect the company and its affiliates. Support pre-litigation work to minimize risks and maximize legal rights and aid as requested on pre-litigation disputes, including drafting demand letters and answers to demand letters. Aid in the research of unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Assist in preparation and review of project claims and variation requests and project correspondence. Provide training to company and its affiliates on substantive legal topics. Help manage corporate governance documents, including corporate books, board minutes, consents, and other governance-related records while ensuring compliance with corporate policies and procedures. Aid the General Counsel in compliance-based efforts across the company for understanding, adherence, and training. Qualifications
BA or BS from an accredited college or university ABA-Approved Paralegal Certificate or JD from an accredited US law school Minimum of 7 years of paralegal experience or 4 years of transactional legal experience, preferably with experience in the bio, agricultural, or stem sector Prior in-house experience a plus Ability to work full time from the Madison office, with the option of working up to 3 hours daily in a home office during traditional or nontraditional worktimes Ability to travel twice annually for 1-3 days each Strong organizational and problem-solving skills Strong communication and interpersonal skills Strong business acumen with sound judgment Ability to manage multiple work streams in a fast-paced environment Proven skills in contracting drafting and the desire to improve templates and contracting processes Prior experience performing searches to comply with international sanctions requirements a plus
