Base pay range $85,000.00/yr - $110,000.00/yr
Seeking a Corporate Paralegal to support a small, collaborative legal department. This role reports to the team's Corporate Secretary and will handle matters of corporate governance, compliance, SEC filings, subsidiary management, financings, M&A, and litigation support.
Key Responsibilities:
Prepare and distribute Board/Committee agendas, materials, and minutes.
Manage subsidiary formations, qualifications, dissolutions, and filings.
Maintain corporate and subsidiary records.
Assist with NYSE and SEC filings (Forms 3, 4, 5, 8-K, 10-K, 10-Q, Proxy Statements).
Coordinate annual meeting materials and voting results.
Support Code of Conduct training and compliance tracking.
Assist with regulatory filings (e.g., FERC, mining permits).
Organize documentation and closing for financings and M&A.
Administer legal holds, discovery, and litigation documentation.
Track Legal Department budget and vendor onboarding.
Requirements:
Paralegal certificate
Active public notary commission
5+ years as a corporate or transactional paralegal
Corporate governance experience (e.g., board/committee materials, electronic board portals), contract management, litigation support, and document retention
Familiarity with financing and M&A transactions
