Securitization & Capital Markets Counsel
Natixis is seeking an experienced mid‑level attorney to join the US Legal Department and provide legal and regulatory advice to the Securitized Products Group for Natixis CIB Americas. The attorney will support ABS and CLO warehouse lending, ABS and CLO capital markets new issuances, the US ABCP conduit programs, structured credit sales and trading, as well as related regulatory projects and initiatives. The ABS practice primarily focuses on esoteric ABS, while the CLO practice encompasses both middle‑market/private credit and BSL. Experience in either ABS or CLO is preferred; we are willing to train attorneys with prior structured finance experience, whether in structured lending or structured capital markets. The successful candidate will join a 22‑member legal department.
Essential Duties and Responsibilities
Advising on ABS and CLO warehousing/144A new issues, including drafting engagement letters, term sheets, teasers, and managing legal transactions, as well as addressing ad‑hoc regulatory projects and initiatives specific to these products.
Collaborating with business teams and support functions on transaction structuring and new product development.
Working with legal colleagues in New York, London, Hong Kong, and Paris to assist with or coordinate multi‑jurisdictional, cross‑border legal documentation and due diligence.
Assessing and communicating legal risks associated with relevant business lines, and providing appropriate solutions to control and reduce such risks.
Coordinating with the Head Office and other locations to promote transparency and consistency in our approach.
Conducting legal analysis on new products and contributing to the New Product Committee as necessary.
Instructing and managing external counsel and legal fees.
Qualifications
JD or LLM degree.
At least 3 years of relevant work experience at a law firm or financial institution.
Strong verbal and interpersonal skills.
Excellent written communication skills, with the ability to convey thoughts clearly and succinctly, and to present complex information in an organized manner.
Strong analytical and organizational skills.
Ability to manage multiple priorities and work under pressure to meet deadlines, while responding creatively and quickly in a fast‑paced, changing environment.
Self‑motivated with the ability to work independently, as well as collaboratively with team members when necessary.
High degree of integrity and a strong work ethic, with timely follow‑through on commitments and a commitment to promoting best practices within the department to enhance procedural controls.
Qualified candidates must be admitted to the bar of the State of New York as an active member in good standing, or registered (or qualified to register) as in‑house counsel under the Rules of the Court of Appeals of the State of New York. NY bar candidates may also be considered.
