Corporate Counsel - Investment Funds
Base pay range: $250,000.00/yr - $300,000.00/yr
We are seeking a highly motivated and experienced Corporate Counsel to join our in-house legal team, with a primary focus on fund formation and transactional matters. This role will support the structuring, formation, and ongoing operations of investment funds, as well as provide legal guidance on a wide range of corporate transactions. The ideal candidate will have a strong background in private fund formation, corporate law, and transactional work, and will thrive in a fast-paced, collaborative environment.
Key Responsibilities
Lead and manage legal aspects of fund formation, including drafting and negotiating fund documents (e.g., LPAs, subscription agreements, PPMs).
Advise on fund structuring, regulatory compliance, and investor relations matters.
Support capital raising activities and investor onboarding processes.
Provide legal support for M&A, joint ventures, strategic investments, and other corporate transactions.
Draft, review, and negotiate a variety of commercial agreements, including NDAs, service agreements, and vendor contracts.
Collaborate with internal stakeholders including finance, compliance, and ops teams to ensure legal alignment with business objectives.
Manage relationships with external counsel and coordinate legal due diligence and closings.
Monitor changes in relevant laws and regulations and advise on potential impact to the business.
Qualifications
Juris Doctor (JD) from an accredited law school; admission to a U.S. state bar.
7+ years of legal experience, with a strong emphasis on fund formation and transactional work, preferably in a law firm or in-house legal department.
Deep understanding of private equity, venture capital, hedge funds, or other alternative investment vehicles.
Excellent drafting, negotiation, and communication skills.
Ability to manage multiple projects and priorities in a dynamic environment.
Strong business acumen and collaborative mindset.
Preferred Qualifications
Experience working in a financial services or asset management firm.
Familiarity with international fund structures and cross-border transactions.
Knowledge of tax considerations in fund formation and structuring.
