Overview

The Corporate Counsel - Commercial will serve as the contracting lead across Kinterra’s portfolio of companies, with a primary focus on development, restart and early operations phases of mining and related industrial projects. This role is a hands-on and business-minded: high volume drafting and negotiation, rapid issue spotting and clear guidance to Kinterra Capital’s portfolio companies. The position reports to the Chief Legal Officer. Role-Specific Accountabilities

Commercial Contracting & Negotiation

Draft, review, and negotiate agreements, including, among other things: engineering, procurement and construction management agreements, master services agreements, non-disclosure agreements, statements of work; mining & contractor services; land access and easements; NDAs/MSAs/SOWs. Structure and manage risk terms: liquidated damages, warranty and defect liability, performance and parent guarantees, letters of credit and bonds, step in and assignment rights, and dispute resolution provisions. Build and maintain templates, clause libraries, negotiation playbooks and a disciplined contract lifecycle management process Project Delivery, Supply Chain and Procurement

Partner with on-site project directors and senior management on sourcing strategy, requests of proposal (RFPs) and requests for quotations, vendor qualification, bid clarifications, commercial evaluations and recommendations across projects. Lead negotiations on contractual terms while aiding senior management leads pricing and total cost assessments; ensure final awards reflect agreed risk positions and Kinterra Capital’s delegation of authority policy. Contribute to supplier performance management (kick-off meetings, key performance indicators, lessons learned) to improve post-award outcomes. Employment/HR (Commercial Support)

Prepare and maintain employment and consulting templates, confidentiality and policy updates for Kinterra Capital and its projects; coordinate with local counsel in applicable jurisdictions on statutory specifics. Ensure contracting aligns with Kinterra Capital’s risk standards, insurance requirements and the delegation of authority. Support compliance programs, including anti-corruption, trade controls and sanctions, export controls, privacy, procurement ethics (conflict of interest disclosures) and related training. Coordinate with external counsel on permitting and health-safety environment related commercial terms and ensure commercial commitments are captured in contracts. Maintain accurate records of executed agreements and key performance obligations; contribute to dashboards and post-award monitoring. Work triage issues early, manage notices and cure processes, develop resolution strategies and instruct and manage outside counsel for litigation or arbitration as required. Deliver training on contract-management fundamentals and best practices. Identify and implement process improvements that enhance commercial agility, compliance and execution across the portfolio Qualifications & Requirements

Education: J.D. and membership in good standing with the Colorado, Denver or Ontario bar. Experience: 5–10+ years’ in commercial or major-projects contracting (mining, engineering-procurement-construction management, EPC/EPCM, or heavy industry strongly preferred). Proven ability to draft, negotiate, and manage complex project and supply agreements. Experience partnering with procurement teams to run RFPs/RFQs or tenders, evaluate commercial deviations, and finalize award terms. Comfort directing and quality controlling external counsel and working across jurisdictions Excellent drafting and negotiation skills; strong commercial judgement and ability to convert legal risk into practical business options. High ownership and document discipline in a schedule-driven, multi-stakeholder environment; effective vendor and stakeholder management. Proficiency with Microsoft Office and contract management systems. Compensation
