Overview KBR Sustainable Technology Solutions (STS) provides holistic and value‑added solutions across the entire asset life cycle. We are seeking a Counsel to provide both EPC major‑project support during project execution and engineering, procurement, EPC, EPCM, and technology licensing contract transactional legal support for KBR’s dynamic and growing Integrated Solutions Americas team. This individual‑contributor role will report to a legal Director.
Functional Job Responsibilities
Advising internal clients and supporting as the assigned attorney on all project life‑cycle phases, from initial pursuit and proposal preparation through contract negotiation and post‑contract legal support.
Drafting, reviewing, redlining, and negotiating commercial contracts—including EPC/EPCM/MSA/technology licensing contracts—focusing on commercial and operational mitigations, corporate risk, and successful client negotiations.
Leading negotiations with clients and their outside counsel (including global law firms), managing multiple drafting rounds and resolving contract issues with the team.
Providing responsive, time‑sensitive support for procurement, change‑order management, project letter drafting, data management, warranty, export compliance, labor and employment, confidentiality agreements, payment/invoicing, risk mitigation, claims management, and dispute resolution.
Facilitating identification, analysis, and resolution of business or technical issues in execution by identifying legal risks and recommending practical courses of action.
Working with prospective business partners on joint‑venture formation, including drafting and negotiating memoranda of understanding and joint‑venture agreements.
Reviewing, drafting, and redlining indemnification (including anti‑indemnity laws), risk management, and limitation on liability concepts.
Identifying issues requiring outside counsel involvement, controlling costs, and managing alternative legal service providers (ALSPs).
Maintaining corporate reporting responsibilities: analysing contractual terms, preparing documentation for transaction approval, and reporting regularly to legal and corporate management.
Supporting investigations and resolution of Code of Business Conduct, compliance, anti‑corruption, and export compliance matters in collaboration with relevant corporate departments.
Required Education, Experience & Skills
J.D. from an ABA‑accredited U.S. law school.
License in good standing to practice law in at least one U.S. state, preferably Texas.
Based in the Houston, Texas corporate office; willingness to travel to project sites and internationally as required. Hybrid Houston office / work‑from‑home arrangement available.
Proven team player and team‑builder capable of coordinating and working within the KBR Law Department and corporate teams.
Minimum 10 years of transactional experience providing legal support for engineering, procurement, and construction/construction‑management matters within the energy industry, with significant experience on large industrial projects (e.g., LNG, EPC). Preference for those with experience at project construction sites.
Substantive experience with business ethics and conduct matters, and regulatory requirements (Code of Business Conduct, Export Compliance, Anti‑Corruption).
Exceptional written and verbal communication skills, able to convey complex contract and legal concepts clearly.
Strong business acumen and judgment to anticipate commercial and payment issues, draft and negotiate detailed commercial terms, and analyze claims.
Preferred Education & Skills
Demonstrated strong business acumen and judgment, proactive identification of commercial and payment issues, and detailed negotiation skills.
Organizational, leadership, and people‑management skills, including overseeing a cohesive support team and fostering a professional, team‑centered environment.
Proficiency in artificial‑intelligence contract review software, contract lifecycle management software, and/or legal intake request software.
Experience managing outside counsel, including alternative fee arrangements and ALSPs.
