Overview Under the direction of and assignment by the General Counsel or his designee, the Senior Counsel provides a complete range of corporate legal services to the Company. Responsibilities include advising Directors, officers, and managers; supervising contract transactional work, proposal reviews, and contract negotiations; managing and maintaining Company forms (subcontracts, purchase orders, equipment lease agreements); overseeing litigation management and selection of outside counsel; supporting corporate risk management and insurance; advising on HR policies, group benefit plans, and incentive plans; interfacing with safety management; managing insurance claims; advising on real estate contracts; structuring business entities, mergers, acquisitions, and maintaining corporate records; overseeing corporate tax planning and licensing; and representing the Company before federal, state, and local agencies and courts.
Supervisory Responsibilities Supervises outside and in‑house counsel, risk‑management matters, tax planning, licensing, and support staff.
Education J.D. required and licensed to practice law in the State of Texas.
Qualifications and Experience Minimum of ten (10) years of experience practicing law.
Typical Duties and Responsibilities
Provides legal advice to executives, officers, and management.
Assists Project Managers with project‑related legal issues.
Manages disputed claims.
Comments on client proposals and draft contracts.
Negotiates contract terms and conditions.
Supervises and supports litigation.
Supervises risk‑management matters.
Advises Safety Department.
Advises HR Department.
Manages acquisitions, mergers, and sales of corporate entities.
Structures corporate entities.
Maintains corporate records.
Reviews and advises on all corporate policy.
Represents the Company before federal, state, and local agencies and courts.
Language Skills Ability to read, comprehend, analyze, and write legal documents; read and comprehend laws and regulations; articulate legal position and arguments in negotiations.
Mathematical Skills General mathematical and financial knowledge.
Physical Demands Requires regular attendance and periodic field trips to project sites or client locations. Ability to hear, stand, walk, reach, climb, and balance; clear close and distant vision; depth perception; focus; work extended and irregular hours; lift 25 pounds (may be required).
Work Environment Office work with moderate noise. Irregular and extended hours may be necessary. Occasional visits to project sites or owners’ offices may expose the employee to outdoor weather conditions, loud noise, moving mechanical parts, electrical energy, construction equipment, vibration, fumes, chemicals, and airborne particles.
