We are seeking a
Counsel, Global Supply Chain Counsel & Commercial Contracts
to join our team. This position plays a crucial role in ensuring the smooth and efficient movement of goods and services. You will work closely with the Chief Supply Chain Officer as a trusted advisor in all areas of legal risk primarily as it relates to supply chain management. The role reports to the General Counsel and is located in Hyde Park, UT, Irvine, CA, or San Diego, CA.
Responsibilities
Play a critical role in leading the transformation of the supply chain organization to identify and execute strategies to work more efficiently and effectively.
Apply legal framework in partnership with Finance and Supply Chain to develop a global legal strategy, including standard terms and conditions, MSAs, and SOWs with the vendor landscape.
Understand latest developments related to the supply chain and logistics industry, and changes to key supplier/vendor business conditions to improve strategic position through application of legal framework.
Maintain current knowledge of laws, regulations and case decisions that bear on supply chain management, including international trade regulations, ESG standards, product safety and quality regulations, data privacy and security regulations, anti‑corruption and bribery regulations to provide proactive legal advice as required.
Advise on risk and implications to commercial terms and agreements, and upon request provide legal advice to other departments as required.
Structure and oversee application of consistent global legal best practices.
Lead organizational structure, governance and administration of document routing, cataloging, storage and maintenance across software and service suppliers/vendors.
Establish our contract expiration process (i.e., 180/90/60/30 reminders, owners, actions, and risk) by category (indirect and direct sourcing, distribution and transportation, repair, and disposal, etc.).
Provide legal review, advice and drafting in negotiating contracts for the acquisition of goods and services, such as distribution, transportation, purchase, rental, service agreements, assuring consistency with business terms, policies, and regulatory requirements.
Assist in establishing and negotiating long‑term agreements with critical/strategic suppliers with the Sourcing Team to help ensure best value.
Coordinate and ensure proper signing authorities and governance processes are observed on Supply Chain contracts.
Demonstrate knowledge of the organization’s core values and incorporate them in the performance of duties.
Review and revise policies, procedures and training materials as needed.
Develop training materials and provide legal training on substantive legal topics.
Proactively negotiate and review enterprise level contracts beyond the Supply Chain function as needed.
Assist in the coordination and tracking management on all contracts and agreements within the central legal database.
Qualifications
Juris Doctorate from an ABA‑accredited law school with at least five (5) years of experience, including in an in‑house environment.
Experience reviewing and negotiating complex strategic sourcing (direct, indirect, and logistics) contracts.
Background in negotiating strategy development.
Excellent business acumen.
Ability to manage and motivate people on a remote basis.
Strong communication and interpersonal skills.
Strong negotiation skills.
Must be decisive.
Ability to work well in a collegial, team‑oriented environment.
Ability to work in a matrixed organization.
International experience preferred.
Pay Range Annual Salary: $200,000.00 - $225,000.00
