Corporate Transactions Group (CTG) CTG, a subsidiary of A&M, provides a structured and disciplined approach to create and capture value throughout the M&A deal cycle. We offer end‑to‑end solutions for corporate clients entering buy‑side acquisitions, sell‑side divestitures, carve‑outs, and strategic partnerships. Our services include commercial due diligence, market entry assessment, financial and operational due diligence, tax diligence and structuring assistance, business modeling and synergy assessment, integration and separation planning, and execution support to deliver enterprise value for our clients’ shareholders.

What will you be doing?

Counsel and mentor Associates, Senior Associates, and Managers.

Effectively lead conversations with clients, lenders, and other stakeholders.

Manage and prioritize team responsibilities, proactively consulting with senior team members as appropriate.

Oversee all aspects of deals with limited guidance from senior directors.

Manage multiple chargeable and non‑chargeable projects of varying size and complexity.

Identify potential transaction risks and implement strategies to address them.

Take responsibility for developing a full, comprehensive due diligence report.

Lead the Quality of Earnings, P&L, and Working Capital analyses.

Communicate regularly with clients regarding engagement matters (e.g., billing, status updates, scope of procedures, scope changes, request lists).

Effectively manage day‑to‑day client interaction and relationships, emphasizing A&M’s capabilities to clients.

Develop and propose creative solutions to engagement and transaction risks and effectively manage problem resolution.

Help engagement executives maximize the value the client receives from A&M (e.g., monitoring engagement leverage, efficiency of staff, and appropriateness of time and effort billed by all team members).

Proactively recruit, train, and develop individuals of all levels for CTG.

Engage in training initiatives, including developing and teaching courses as appropriate.

Display a core understanding of all CTG services and strive to cross‑sell CTG and other A&M services as opportunities arise.

Abide by risk management guidelines and engagement review memo procedures.

Gather applicable conflict check information and coordinate with Managing Directors to set up engagement codes and other engagement requirements.

Assist Managing Directors and Senior Directors in sales and business development efforts.

Contribute to sales pursuits by generating new client business and/or adding on business from current clients.

Appropriately manage engagement risk and potential client or engagement issues.

Qualifications

A minimum of 8 years of financial accounting due diligence experience at a top accounting firm.

Bachelor’s or master’s degree in accounting and/or related major.

Certified Public Accountant (CPA) or in the process of obtaining one.

Working knowledge of US GAAP, SEC reporting, and purchase accounting.

High proficiency in Excel and PowerPoint.

Excellent interpersonal and communication skills.

Strong project management skills.

Flexibility to work as both a team member in a collaborative setting and as an individual contributor.

Ability to thrive and be effective in fast‑paced settings.

Ability to travel for project needs and A&M specific needs and opportunities (e.g., training, internal meetings, etc.).

Benefits and Compensation Regular employees working 30 or more hours per week are entitled to participate in Alvarez & Marsal Holdings’ fringe benefits, including healthcare plans, flexible spending and savings accounts, life, AD&D, and disability coverages. Employees will also receive an annual discretionary contribution to their 401(k) retirement savings plan from Alvarez & Marsal. Paid time off includes vacation, personal days, 72 hours of sick time, ten federal holidays, one floating holiday, and parental leave. The amount of vacation and personal days available varies based on tenure and role type.
