Corporate Paralegal Base pay range:

$110,000.00/yr - $150,000.00/yr

A leading firm is seeking an experienced Paralegal to support its corporate and investment funds practice. The ideal candidate will have strong entity management experience and a working knowledge of hedge funds, private equity, or corporate law.

Key Responsibilities

Assist with the formation, maintenance, and dissolution of domestic and international entities, including hedge funds (master‑feeder structures), general partners, and management companies.

Prepare and file organizational documents (certificates of formation/incorporation, operating agreements, bylaws, board resolutions, consents, incumbency certificates, etc.).

Maintain corporate records, minute books, and databases for legal entities.

Track corporate governance deliverables such as board/investor meetings, regulatory filings, and annual compliance obligations.

Support preparation and maintenance of offering memoranda, subscription documents, side letters, trading agreements (ISDAs, repos, confirmations), and other fund‑related documentation.

Maintain organized legal files and records, ensuring accuracy and accessibility.

Provide general legal support on ad hoc projects, including NDAs, vendor contracts, regulatory filings, and due diligence requests (KYC/AML).

Qualifications

Bachelor's degree required.

Minimum 3 years of paralegal or legal assistant experience, preferably in a hedge fund, private equity firm, or law firm with an investment funds/corporate practice.

Strong knowledge of corporate governance and entity management best practices.

Experience with private fund formation and regulatory filings (Securities Act of 1933, Investment Advisers Act, Form D, Form PF, 13F/13G/13H) preferred.
