Dvorak Law Group is seeking an an experienced and highly organized Corporate Paralegal to join our corporate practice group in Omaha, NE. This role is ideal for a professional who thrives in a collaborative environment, enjoys client interaction, and has a passion for supporting complex corporate transactions. The position offers the opportunity to work alongside attorneys and staff on a wide range of matters including but not limited to entity formation or dissolution, finance, real estate matters, commercial agreements, corporate governance, and mergers and acquisitions.
In this role:
Assist attorneys with all aspects of corporate and transactional matters, including entity formations, governance, mergers and acquisitions, and dissolutions.
Format, draft, and revise documents such as contracts, agreements, transaction checklists, and corporate governance materials to firm standards.
Prepare first drafts of documents and attend drafting sessions to incorporate revisions.
Coordinate and manage due diligence processes, including organizing, reviewing, and maintaining documentation in virtual data rooms and other platforms.
File documents with state and federal agencies to ensure compliance with regulatory requirements.
Communicate directly with clients and third parties to request information, provide updates, and ensure timely responses.
Coordinate workflow and delegate tasks to support teams to ensure accuracy, timeliness, and efficiency.
Maintain and update corporate records, stock ledgers, and entity databases.
Support client billing matters by preparing billing letters, tracking time, and handling related administrative tasks.
Organize and manage electronic and paper files in accordance with firm standards.
Research statutes, regulations, and other legal resources as needed.
Assist with special projects and other duties as assigned.
Ideal Candidates will have:
Strong knowledge of corporate procedures, compliance, and transactional documentation.
Excellent organizational skills with the ability to manage large volumes of information and multiple deadlines.
Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint) and PDF tools.
Strong attention to detail, proofreading, and document formatting skills.
Excellent interpersonal and communication skills, with the ability to interact effectively with attorneys, clients, and staff.
Ability to work independently and collaboratively in a fast-paced, team-oriented environment.
