Job Description

Advise public and private companies on equity and debt capital markets transactions, including registered and unregistered offerings.

Counsel clients on securities law compliance, disclosure obligations, and corporate governance matters.

Draft and review offering documents, SEC filings, and related transactional agreements.

Support public M&A transactions, including due diligence, regulatory filings, and closing processes.

Collaborate with cross-practice teams to manage complex transactions efficiently.

Maintain current knowledge of securities regulations, market trends, and governance best practices.

Develop and manage client relationships while providing practical, business-oriented legal advice.

Mentor junior associates and contribute to team development and firm initiatives.

The Successful Applicant A successful candidate should have:

A Juris Doctor (JD) degree from an accredited law school.

Admission to the New York State Bar or eligibility to waive in.

Proven experience in public company M&A and capital markets transactions.

Excellent drafting, negotiation, and communication skills.

Ability to manage multiple projects and deadlines effectively.

A commitment to delivering exceptional client service.
