Capital Markets Associate – Mid-Level (New York) Location:

A leading full-service law firm with a nationally ranked corporate practice is looking to add a mid-level associate to its high‑performing Capital Markets team in New York. The team advises public and emerging‑growth companies, investment banks, and institutional investors on complex equity and debt transactions.

The Opportunity You’ll play an integral role on high‑value deals, including IPOs, SPAC transactions, follow‑on offerings, PIPEs, and private placements. Associates are trusted to draft and negotiate documents, engage directly with clients, and navigate regulatory complexity in fast‑moving market environments.

Key Responsibilities

Advise issuers and underwriters on IPOs, SPACs, and follow‑on offerings.

Draft and negotiate registration statements, underwriting agreements, and offering documents.

Oversee SEC reporting (10‑K, 10‑Q, 8‑K, proxy statements) and Exchange Act compliance.

Advise on governance, stock exchange rules, insider trading, repurchase programs, and broker‑dealer matters.

Supervise junior lawyers, coordinate due diligence, and manage external advisors.

Interface with emerging companies, financial institutions, and alternative capital providers.

Support long‑term client relationships as trusted outside corporate counsel.

Ideal Candidate Profile

3–4 years’ experience in capital markets at a top‑tier law firm.

Proven track record with IPOs, SPACs, PIPEs, or similar offerings.

Familiar with Securities Act and Exchange Act frameworks.

Confident in drafting SEC filings and managing regulatory reviews.

Excellent analytical, writing, and deal‑management skills.

Admission to the New York Bar required.
