Your Role Cradle seeks a Legal Counsel for a fully remote position based on Eastern US time. You will work alongside our current Legal Counsel (based in Zurich) in a lean team of two, supported by external advisors, and play a key role in supporting the business through an exciting phase of expansion. Your focus will be supporting the commercial team across a wide range of legal matters, safeguarding the company’s interests in contracts with customers worldwide.
Your Responsibilities
Contract Management: support the full contract life‑cycle, including drafting, reviewing, and negotiating commercial contracts such as Master Services Agreements, NDAs, and partnership agreements.
Template Management: draft and continuously improve contract templates and playbooks for commercial contracts.
US Law: advise on various US law matters, drafting or reviewing US contracts and other legal documents, including corporate, employment, IP, and other matters.
Regulatory Compliance: stay abreast of existing and upcoming regulations and ensure company compliance.
Legal Risk Management: identify and mitigate legal risks associated with the company’s business activities.
Liaison with External Legal Advisors: engage with external legal advisors in Switzerland, the Netherlands, the United States, and other jurisdictions for local expertise and specialty areas.
Must haves
License & Experience: US Licensed Attorney in good standing, with 5+ years in a law firm or similar in‑house position; extensive experience negotiating complex Services or SaaS agreements with enterprise clients in Life Sciences, Biotech, and/or Software.
Drafting & Negotiation: exceptional drafting skills, efficient and detail‑oriented; strong negotiator who balances legal rights with commercial deal‑making.
Prioritisation & Independence: thrives in a fast‑paced environment, wears multiple hats, prioritises effectively, and works independently while knowing when to escalatem.
Communication & Interpersonal: outstanding communicator, both oral and written; collaborates across teams, especially with the commercial team; customer‑centric, proactive problem‑solver, and high integrity.
Nice to haves
Prior experience in a scale‑up or software/AI technology company.
Familiarity with Swiss, Dutch, or German law.
Fluency in German, Dutch, or French.
