Salary:
$260,000.00 - $365,000.00 per year Essential Duties and Responsibilities: Provide legal counsel on both public and private offerings of securities, ensuring adherence to all regulatory requirements. Advise on corporate governance practices and handle periodic reporting obligations for public companies. Lead and negotiate public and private mergers, acquisitions, and manage private equity deals. Draft, assess, and negotiate critical transactional documents such as offering memoranda, shareholder agreements, and various contracts. Collaborate with multidisciplinary teams to incorporate tax, regulatory, and diverse considerations into transaction strategies. Develop and maintain robust client relationships, playing a key role in business development and client management. Minimum Position Qualifications: JD from a top-tier law school with a distinguished academic record. Active Bar Admission in applicable jurisdiction. 3–5 years of substantive experience in corporate transactions and securities law. In-depth knowledge of public and private securities offerings and corporate governance. Proven ability to effectively communicate and collaborate in a team-oriented setting. Preferred Qualifications: Experience with public and private mergers and acquisitions. Familiarity with private equity transactions. Strong strategic thinking and analytical skills. Excellent negotiation and drafting skills. Skills: Expertise in securities law and corporate transactions. Strong interpersonal and communication skills. Ability to manage multiple projects simultaneously and meet tight deadlines. Strong problem-solving skills and attention to detail.
