Job Description This role involves a dynamic mix of

high-stakes transactional work

and strategic advisory services. You will be instrumental in all phases of

mergers and acquisitions , from complex structured acquisitions and strategic divestitures to intricate corporate carve-out transactions. The position also entails a significant focus on

capital markets , guiding both public and private entities through various financing initiatives, including initial and follow-on public offerings, private placements, and venture capital financings. You will draft and negotiate a wide array of commercial agreements, including those related to licensing, technology transfers, research and development collaborations, and supply chain logistics. Additionally, you will provide counsel on

corporate governance

and disclosure matters, ensuring compliance with evolving securities laws and regulations. A key part of the role will be collaborating with specialized teams, including regulatory and intellectual property groups, to navigate complex legal issues that impact deal value and execution. Qualifications

Juris Doctor from an ABA-accredited law school with exceptional grades or extracurricular achievements. Active membership in good standing with the relevant State Bar or willingness and ability to waive in by comity (motion). A minimum of

4-6 years of experience

as a transactional associate in a sophisticated law firm environment. Demonstrated experience in

Mergers & Acquisitions (M&A) , including structured acquisitions and divestitures. Experience within

Capital Markets , such as private securities or public offerings. Preferred Skills

Experience with

licensing and collaboration agreements , particularly within the life sciences or technology sectors. Track record of success within an Am Law 100/200 biglaw environment in a high-performing capacity. A proven track record of advising on corporate governance and securities compliance matters. Experience working with clients in regulated industries, such as life sciences, technology, or finance. Exceptional analytical, writing, and communication skills.
