WHO are we looking for? We are seeking a full‑time

Corporate M&A Counsel

experienced in transactional matters to join our internal legal team. The successful candidate will focus on leading the legal due diligence for acquisitions, serving as lead counsel or part of the legal team on all acquisitions and assisting with drafting, negotiating, and reviewing ancillary documents as needed. This role works closely with our M&A and integrations teams and requires a general understanding of various aspects of our business. As counsel, you will provide practical legal advice across business lines while mitigating legal risks for the company. The role will include responsibility for coordinating matters with external counsel and internal stakeholders. Our ideal candidate is comfortable working with all levels of management to gain an in‑depth understanding of our strategy and services. The candidate will maintain the highest professional and ethical standards, have excellent time management, organization, and decision‑making abilities, be able to work autonomously, prioritize projects and deadlines, be collaborative, and accountable while performing in a fast‑paced and evolving environment.

Responsibilities

Work with the business teams on structuring the transaction

Draft, review, and negotiate transactional documents, including non‑disclosure agreements, letters of intent, term sheets, purchase agreements, disclosure schedules, as well as ancillary transactional documents independently and in coordination with outside counsel

Lead due diligence efforts to assess the legal, financial, and operational aspects of target companies including coordinating inter‑disciplinary internal diligence teams

Conduct legal research and analysis to identify potential risks and legal issues associated with proposed transactions; and assist in the integration process after an acquisition is completed.

Qualifications

Juris Doctorate from accredited law school

Licensed to practice and in good standing in applicable jurisdiction

6+ years of law firm or in‑house experience or functioning at the senior associate level

Experience in corporate transactions including mergers and acquisitions

Sound business judgment and an ability to balance legal risks and business goals

A willingness to learn the business and build strong relationships with internal stakeholders and transaction parties

Desired Qualifications / Skills

Strong project management skills and ability to complete projects with minimal supervision under tight timelines and occasionally competing priorities

Prior experience representing strategic acquirers

Prior financial services industry experience and experience supporting fast‑growing, highly entrepreneurial companies is a significant advantage
