Job Summary Contract Review Counsel will have primary responsibility for the review of outside counsel guidelines and vendor contracts provided to the firm by new or existing clients. The role supports communications with clients and vendors regarding proposed changes to these documents, provides support for the firm’s compliance with contract terms, and contributes to additional special projects as identified by the Office of General Counsel. This position can be filled as fully remote or hybrid from any of our U.S. offices.

Job Responsibilities

Review outside counsel guidelines received from new and existing firm clients to identify possible compliance issues and recommend modifications.

Review contracts received from firm vendors or other non‑client entities to identify possible compliance issues and recommend modifications.

Interact with internal subject‑matter experts and partners regarding special outside counsel guideline or contract provisions, as necessary.

Draft the firm’s written communications with clients and vendors setting forth proposed exceptions to outside counsel guidelines and vendor contracts.

Participate in written or oral dialogue with clients and vendors to achieve mutually agreeable alternative terms and conditions.

Oversee collection of executed outside counsel guidelines and vendor contracts and monitor the firm’s retention and filing of the same.

Contribute to similar risk‑management projects as identified by the General Counsel on an as‑needed basis.

Qualifications

Demonstrated ability to communicate clearly, effectively, and persuasively, both orally and in writing, with attorneys, staff, and vendors.

Ability to provide quality client service to both internal and external contacts and clients, requiring patience, tact, discretion, and persuasion.

Demonstrated ability to organize and prioritize work in a dynamic and complex environment to meet deadlines and daily requirements.

Demonstrated ability to work effectively both independently and with others in a cooperative, enthusiastic, and friendly manner to accomplish position functions and participate in team efforts.

Demonstrated ability to analyze and interpret information from a variety of sources, applying critical and creative thinking to draw conclusions or develop solutions to complex problems.

Ability to represent the firm with honesty, integrity, and professionalism, consistently acting in an ethical manner.

Demonstrated knowledge of standard contract law principles and clauses, including but not limited to indemnification issues, and experience drafting alternative provisions and negotiating the same.

General knowledge regarding principles associated with anti‑money‑laundering laws and regulations.

Education The position requires a law degree.

Experience The position requires a minimum of five years of increasingly responsible, directly related experience during which knowledge, skills, and abilities applicable to the position were demonstrated.

Additional Information Crowell & Moring LLP offers a competitive compensation and comprehensive benefits package. The salary range for this position is $164,000 – $249,000; additional compensation may include a discretionary bonus. The salary for this position may vary based on location, market data, applicant skills, prior experience, certain degrees and certifications, and other factors.
