Job Description
Provide legal counsel on a variety of issues including transactional matters, legal compliance and corporate record keeping across a broad spectrum of business units and functional areas.
Draft, negotiate and review contracts: supply & distribution agreements, research & development agreements, licensing agreements, technology service agreements, consulting agreements, confidentiality agreements and other business and legal documents.
Advise management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies.
Provide legal support to corporate governance matters: convening Board meetings and General Meetings, preparing agendas and minutes, finalizing meeting related documents, and completing pre and post meeting formalities for TAPI legal entities in US, Brazil and Mexico.
Assure compliance with international, federal, state and local laws and regulations applicable to the company’s operations.
Assist in implementing, improving and reviewing legal processes and procedures.
Address internal or external legal issues and recommend solutions/best practices.
Instruct and manage external law firms and counsels for ongoing litigation, ensuring adherence to cost management principles.
Assist in planning and managing the legal budget for all legal activities, ensuring effective use of resources.
Qualifications
University degree in Law (JD) from an ABA accredited law school.
Admitted to practice law under the NY or NJ Bar.
Commercial lawyer with at least 6 years of experience in business operations.
Solid commercial and contract law experience with familiarity of litigations.
Experience in a pharmaceutical, medical devices or healthcare company is an advantage.
Knowledge of employee law related issues is an added advantage.
Excellent negotiating and drafting skills.
Very good communication and interpersonal skills; ability to advise at all levels within the business and internationally.
Well organized and self-disciplinary with good planning skills.
Good sense of prioritization and understanding main points.
Strong business acumen.
Ability to work in a team and use good judgment.
