About the Role We are seeking an experienced Corporate Legal Specialist to join our dynamic legal team. As we continue to scale rapidly, we need a detail-oriented legal operations partner who can provide crucial support across our corporate legal functions. The ideal candidate will bring substantial transactional experience and demonstrated ability to build and operationalize corporate processes, particularly around operationalizing corporate policies, record management, and system integrations.

Responsibilities

Support complex corporate transactions including M&A, financing rounds, and strategic partnerships through due diligence coordination, document management, and closing preparations

Operationalize and maintain corporate policies, including implementing workflows that integrate with our existing systems and ensure proper records retention

Build and maintain scalable corporate operations processes, with emphasis on documentation, audit trails, and system integrations

Manage and maintain corporate records, minute books, and stock ledgers for parent company and subsidiaries

Support corporate governance matters, including maintaining entity records, managing board materials, and assisting with regulatory filings

Assist with equity program administration, including managing cap table updates, stock issuances, and option grants

Partner with outside counsel as needed on various corporate matters

Coordinate with cross-functional teams on special projects and continuously improve internal processes

You may be a good fit if you have

At least 10 years of experience in legal operations, business/operations manager, or paralegal role in a corporate legal department or similar experience

Substantial experience supporting M&A transactions and financing rounds, with demonstrated end-to-end transaction management

Proven track record of building corporate operations processes from scratch, including signing authority frameworks, approval workflows, and records management systems

Experience integrating legal processes with contract management systems (CLM) and maintaining data integrity across platforms

Strong knowledge of corporate governance, SEC compliance, and entity management

Experience managing multiple complex projects simultaneously

Strong candidates may have

In-house or similar experience at a global law firm

Experience in a tech company or other fast-paced environment

Experience supporting board meetings and maintaining corporate minutes

Familiarity with AI tools such as Claude to automate workflows and improve efficiency

Role-specific policy For this role, we expect staff to be able to work from our San Francisco office at least 3 days a week, though we encourage you to apply even if you might need some flexibility for an interim period of time.

Compensation $220,000 - $285,000 USD (base). Our total compensation package for full-time employees includes equity, benefits, and may include incentive compensation.

Logistics Education requirements:

We require at least a Bachelor's degree in a related field or equivalent experience.

Location-based hybrid policy:

Currently, we expect all staff to be in one of our offices at least 25% of the time. However, some roles may require more time in our offices.

Visa sponsorship:

We do sponsor visas! However, we aren't able to successfully sponsor visas for every role and every candidate. But if we make you an offer, we will make every reasonable effort to get you a visa, and we retain an immigration lawyer to help with this.
