Senior Counsel and Director, Capital Solutions Base pay range: $196,000.00/yr - $407,000.00/yr

Responsibilities

Structure, draft, and negotiate complex investment transactions, including credit, hybrid capital, and special‑situation investments.

Provide legal leadership throughout the investment lifecycle, from front‑end documentation to amendments and workouts, ensuring robust risk mitigation and optimal outcomes.

Collaborate with investment professionals, portfolio managers, and other stakeholders to support portfolio construction, underwriting, and ongoing monitoring.

Build and maintain effective working relationships with internal partners (legal, risk, compliance, investments, senior management) and external constituencies (borrowers, lenders, outside counsel).

Monitor developments in relevant legal and regulatory frameworks and ensure transactions comply with legal requirements.

Facilitate consensus‑building among diverse stakeholder groups and lead negotiations through complex and ambiguous matters to achieve efficient and pragmatic resolutions.

Develop and implement best practices for legal risk mitigation and transaction efficiency across the capital solutions platform.

Advise senior leadership on emerging risks and opportunities stemming from legal, market, and regulatory developments.

Qualifications

Significant relevant experience at a leading law firm and/or corporate environment; JD and admission in good standing to a U.S. jurisdiction.

Substantial experience structuring and negotiating complex credit, hybrid capital, and special‑situation investments, such as preferred debt‑like equity, holding company notes, mezzanine and subordinated loans, and senior secured credit facilities.

Demonstrated ability to navigate complexity, build consensus, and nurture relationships with internal and external stakeholders, including regulators and business partners.

Experience with recapitalizations, workouts, and restructurings.

Self‑starter with a bias for action and implementation, motivated to impact and actively contribute to company objectives.

Collaborative senior lawyer and business partner who balances risk with growth and realizes commercial goals; excellent judgment and pragmatism.

Excellent interpersonal skills, strong credibility, and personal dynamism to inspire performance and commitment.
