Position Overview The Counsel, Franchising & Real Estate, U.S., will be responsible for franchise and real estate matters in certain regions of the U.S. for Restaurant Brands International, Inc., owner of the BURGER KING®, TIM HORTONS®, POPEYES®, and FIREHOUSE SUBS® brands. The Counsel is a key member of the RBI Legal Franchise and Real Estate team and the main legal advisor to regional field operations staff, including regional general managers. The Counsel works closely with outside counsel and frequently interacts with franchisee counsel. The position is based in Miami, Florida and reports to the Vice President, Legal, for U.S. and Latin America.

Essential Duties

Draft, negotiate franchise, development, and ancillary agreements, and agreements for acquisition or divestiture of restaurants.

Provide franchise compliance legal advice, including drafting default and termination notices, workout agreements, temporary licensing agreements, and addressing related enforcement matters.

Advise on U.S. franchise sales and ensure compliance with franchise regulatory requirements, including franchise disclosure laws.

Draft, negotiate real estate agreements, including purchase and sale agreements and lease agreements.

Advise on real estate matters such as condemnations, construction, environmental, and property management matters.

Draft and review franchising policies, including operational policies regulating franchisees.

Develop training materials and conduct training for franchise and real estate personnel.

Manage and oversee outside counsel with respect to franchising and real estate litigation.

Qualifications & Skills

Juris Doctor of Law degree from an accredited law school required.

Licensed to practice law in Florida or another state.

Knowledge of franchise or corporate law preferred.

Knowledge of real estate law (transactions and commercial leasing) preferred.

5‑8 years of legal experience, with law firm experience required.

Transactional experience with strong drafting and negotiating skills.

Strong communication skills.

Demonstrated ability to work effectively in a multi‑tasking environment with high volume workload.
