Dallas, Texas or San Diego, CA (Hybrid work model)

The SEC Corporate Counsel advises AMN leadership and team members on corporate governance and compliance activities. As a key part of our team, you will provide legal counsel in connection with a range of activities, including corporate governance, SEC reporting, compliance with securities laws, regulatory compliance and other strategic transactions.

Job Tasks:

Prepare and review SEC filings, including 10-Ks, 10-Qs, proxy statements, Section 16 reporting (Forms 3, 4, and 5) and other periodic reports.

Support the corporate secretarial function, including preparation of materials for Board of Directors and Committee meetings and the Company's annual meeting of shareholders.

Collaborate with the legal team and cross-functionally to advise on disclosure matters and review of investor relations materials.

Provide support for transactions, as needed, such as securities offerings, financings, investments, acquisitions, divestitures, and/or other strategic transactions.

Provide legal support and clear, pragmatic advice to internal team members on a broad range of issues, including compliance with securities laws and NYSE rules.

Build close cross-functional relationships with team members in supported businesses.

Comfortable working and communicating with senior leaders and executive management.

Education, Certifications & Experience Minimum Education/Certifications:

Bachelor’s Degree

Juris Doctorate Degree

Admission to the Texas or California Bar

Minimum Experience:

At least 3-5 years of experience as an attorney in a well-regarded firm and/or an in-house practice counseling public companies on SEC compliance and transactional matters.

Pay Rate $140,000 – $166,000 Salary. Final pay rate is dependent on experience, training, education, and location.
