Corporate M&A Attorney
The client is looking for a Corporate M&A attorney to provide expert legal counsel to corporate clients, guiding them through the intricate process of M&A and ensuring their business interests are well‑protected. The successful candidate will have a minimum of 5 years in a similar role.
Base Pay Range $250,000.00/yr - $450,000.00/yr
Responsibilities
Provide expert legal advice on all aspects of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
Lead the drafting, reviewing, and negotiation of a wide range of complex legal documents including but not limited to asset purchase agreements, merger agreements, stock purchase agreements, and joint venture agreements.
Conduct comprehensive due diligence investigations to identify potential legal risks and devise effective mitigation strategies.
Coordinate with cross‑functional teams to ensure all transactional documents comply with company policies, laws, and regulations.
Develop and maintain strong relationships with clients, providing them with timely updates and ensuring their business objectives are met.
Participate in the development of corporate policies, procedures, and programs, and provide continuing counsel and guidance on legal matters and on the legal implications of all matters.
Manage external counsel and oversee the delivery of legal services.
Qualifications
Juris Doctor (JD) degree from an accredited law school.
A minimum of 8 years of experience in corporate law, with a strong focus on M&A.
Admitted to the state bar.
Proven track record in drafting and negotiating complex legal documents, including asset purchase agreements and contracts.
Exceptional understanding of corporate law, securities law, and corporate governance.
Proficient in managing due diligence investigations.
Excellent negotiation, communication, and interpersonal skills.
Strong analytical ability and problem‑solving skills.
Ability to manage multiple projects, collaborate with different teams, and work under pressure.
High ethical standards and professional integrity.
