ANDRITZ is seeking a CORPORATE / M&A COUNSEL to help support ANDRITZ in a broad spectrum of corporate legal matters, with a focus on mergers and acquisitions. Reporting to the Co-Head of ANDRITZ’s M&A Practice Group – Americas, and working closely with Group Business Development, you will be a key contributor to ANDRITZ’s global, cross‑functional M&A team. You’ll support our growth strategy throughout all phases of a transaction’s lifecycle — evaluating potential acquisitions, structuring deals, conducting due diligence, negotiating transaction documents, executing deals, and supporting post‑transaction integration. This will require working on multiple transactions at the same time. You will also support the North American business with (i) entity management, including subsidiary governance, director and officer appointments and entity consolidations, and (ii) general legal support on accounting, tax and treasury matters. Overtime, your role may expand to include support on certain commercial transactions.
Core Responsibilities
Support legal aspects of transaction lifecycles, including target assessment, due diligence, structuring, negotiation, documentation, execution, and integration, aligned with ANDRITZ’s global growth strategy and risk tolerance
Collaborate with internal global teams to structure and negotiate deals, ensuring legal compliance throughout including regulatory matters.
Draft, review and/or negotiate confidentiality agreements, non-binding bids, asset or stock purchase agreements, merger agreements, joint venture agreements, and ancillary agreements.
Facilitate efficient coordination of workstreams between internal legal resources and outside counsel.
Review internal reports and presentations to advise management of legal considerations affecting the company’s M&A objectives and activities. Stay current on M&A market trends and regulatory developments.
Assist with subsidiary governance and entity management for ANDRITZ’s operations in the US and Canada, including director/officer appointments, and entity consolidation.
Provide legal counsel to internal teams such as Accounting, Treasury, and Tax on general corporate matters.
Perform other work and projects, as assigned.
Qualifications and Key Attributes
J.D. required from an ABA accredited law school.
License to practice law and in good standing.
5-10 years of M&A and corporate experience, including cross-border transactions. International legal experience preferred.
Business-oriented legal judgment with a proactive, solution-focused mindset.
Excellent communication, negotiation, and project management skills.
Ability to independently manage multiple priorities with a substantial workload on a variety of time-sensitive legal matters.
Positive, can-do attitude with an ownership mindset.
Comfort and ability to work in a global company, including international travel, as needed.
Collaborative team player with ability to influence across functions in a fast-paced team environment.
Willingness to adopt and ability to excel at ANDRITZ’s core behaviours of customer focus, ownership for performance, shared commitment and openness.
Working Conditions This position will be hybrid with a base in Raleigh, NC and will entail occasional travel (domestically and internationally).
