Overview Our client is a dynamic and expanding woman-owned, business law firm is seeking an experienced Commercial/Transactional Attorney to join its growing business law group in Birmingham, MI. Job Summary This is a prime opportunity for a driven, entrepreneurial-minded legal professional with a passion for working on complex transactions and building client relationships. We’re looking for someone who combines strong legal skills with business savvy and ambition—someone who thrives in a collaborative environment and is excited about the chance to grow both professionally and financially.

The ideal candidate will bring at least 1 year of experience in corporate governance and transactional matters. You’ll work closely with a team of seasoned attorneys on high-impact deals and strategic advisory matters across a variety of industries.

Job Responsibilities

Lead and manage corporate transactions such as merges, acquisitions, joint ventures, stock and asset purchases

Advise clients on corporate governance, entity formation, business structuring, and compliance

Draft, review, and negotiate a range of commercial agreements (e.g., purchase agreements, shareholder and operating agreements)

Oversee all phases of deal execution, including due diligence, closing, and post-closing support

Act as a strategic partner to clients, offering insights across business and legal concerns

Collaborate with attorneys across practice areas such as tax, employment, and litigation

Requirements

J.D. and excellent academic credentials

Member in good standing of a state bar association

Minimum 3+ years of corporate and transactional commercial legal experience (preferred)

Significant contract review and negotiation experience

Ability to work both collaboratively and independently

Excellent organizational skills, with the ability to manage multiple projects, follow through, and meet deadlines

Strong written and oral communication skills

Proficient in Microsoft Word, Excel, and Adobe
