Opportunity Overview A leading business‑focused legal team is seeking a Corporate M&A Associate with 4–6 years of transactional experience to support complex corporate matters, including private equity deals, middle‑market transactions, rollups, multijurisdictional acquisitions, and financings. This role provides immediate impact, leadership involvement, and the opportunity to run transactions from term sheet through closing.
This firm is known in the market for strong institutional client relationships, a collaborative attorney environment, and ongoing investment in associate growth and development. The position is available in either Washington, D.C. or Northern Virginia, offering flexibility while maintaining access to sophisticated corporate deal flow.
Key Responsibilities
Lead M&A transactions from structuring to execution and closing.
Draft principal transaction agreements, equity documentation, and ancillary instruments.
Manage due diligence teams and coordinate with tax, benefits, regulatory, and financing counsel.
Train junior team members through delegation, supervision, and review support.
Support clients across multiple industries, including regulated sectors.
Qualifications
4–6 years of corporate transactional experience focusing on private company M&A.
Significant drafting experience with purchase agreements, equity documents, and related contractual materials.
Strong financial and commercial reasoning skills.
Demonstrated maturity when interacting with clients and working under time‑sensitive execution cycles.
Ability to work independently while contributing to team‑driven deal execution.
