A prominent corporate and securities law firm in Northern New Jersey—highly regarded for its work with middle-market clients and well recognized for its Mergers & Acquisitions, Securities, Capital Markets, and Corporate Law practices—is seeking an experiencedM&A Counsel or Partner to join its expanding transactional team.
The firm offers a unique platform for attorneys who excel in complex corporate transactions and value a collaborative, hands‑on environment. Although part of a sophisticated and expanding platform, the firm maintains a boutique-style culture that prioritizes direct attorney involvement in drafting, negotiation, and client interaction. This approach ensures high-quality work product, streamlined communication, and a level of personalized service typically associated with elite boutiques—paired with the resources, deal flow, and client sophistication of a larger firm.
The platform is designed for seasoned attorneys with an existing practice or partial book of business and the entrepreneurial vision to cultivate it into a comprehensive, high-performing practice. Attorneys joining the team gain the benefit of a long-standing, proven marketing and business development engine, as well as a robust support structure designed to accelerate practice growth.
Position Overview The ideal candidate will have extensive experience advising on the full lifecycle of M&A transactions. This includes representing purchasers, sellers, investors, and Boards of Directors in both domestic and cross‑border matters involving public and private companies. Typical transactions include mergers, stock and asset acquisitions or dispositions, joint ventures, tender offers, share exchanges, and other strategic combinations.
Candidates should be proficient in drafting, analyzing, and negotiating all primary and ancillary M&A documents, including stock and asset purchase agreements, merger agreements, joint‑venture and operating agreements, shareholder agreements, and post‑closing documentation. The role also involves coordinating with regulatory agencies, financing sources, and multidisciplinary teams to ensure transactions are structured and executed efficiently. Experience advising Boards of Directors and Special Committees is highly valued.
Ideal Candidate Qualifications
Significant M&A experience at the Counsel or Partner level
Strong understanding of the transactional process and middle‑market deal dynamics
Excellent drafting, negotiation, and structuring skills
Entrepreneurial mindset with interest in practice growth
Portable book of business or a demonstrated motivation to build one
Strong academic credentials and a record of superior client service
Licensed to practice in New Jersey; additional New York licensure is a plus
