Opportunity Overview

A well-established, multi‑office business law firm is seeking a Corporate Attorney with 5+ years of sophisticated transactional experience to join its Portland, OR office. This role offers exposure to high‑value commercial transactions, diverse industry clients, and meaningful client‑facing responsibilities. Attorneys here gain early ownership of deals, direct communication with decision makers, and involvement in strategic negotiations.

Key Responsibilities

Lead and support entity formations involving corporations, LLCs, partnerships, and joint ventures.

Manage mergers and acquisitions ranging from lower‑middle‑market to larger transactions.

Draft commercial agreements, corporate governance documentation, and finance‑related contracts.

Support securities matters, financing transactions, and regulatory filings.

Conduct due diligence and prepare transaction‑ready documentation.

Work collaboratively across offices and practice groups.

Qualifications

Minimum of 5 years of corporate transactional experience.

Experience handling either M&A, securities, or financing deals (experience in multiple areas preferred).

Strong drafting, negotiation, and issue‑spotting skills.

Ability to manage multiple complex matters simultaneously.

Entrepreneurial mindset and ability to build strong client relationships.

Bar Admission Requirement

Oregon Bar admission or eligibility through reciprocity.
