The Opportunity We are seeking an experienced Legal Counsel to serve as a hands‑on, strategic legal partner to our executive leadership team, with a primary focus on employment law, commercial and vendor contracting, mergers and acquisitions, and intellectual property process development. This role plays a critical part in building scalable legal infrastructure that supports our continued growth as a global SaaS organization.
Duties & Responsibilities
Serve as INNERGY’s primary in‑house legal advisor with emphasis on employment law, commercial and vendor contracting, M&A, and IP process ownership
Lead all employment law matters including policies, investigations, employee relations, compliance, separations, and multi‑state and multi‑region regulations in partnership with HR and People Operations
Draft, review, and negotiate commercial, vendor, partner, and customer agreements including MSAs, SaaS agreements, SOWs, NDAs, and strategic supplier contracts
Own and evolve vendor contracting processes including risk assessment, standard templates, approval workflows, and ongoing vendor legal management
Support M&A transactions end to end including due diligence, structure, integrations, and post‑acquisition process alignment
Build and formalize intellectual property protection processes including ownership frameworks, licensing, and contractor and employee IP protections
Provide legal guidance for Investment Committee initiatives, executive transactions, and strategic business decisions
Manage disputes, claims, and litigation in partnership with outside counsel
Develop scalable legal templates, playbooks, and workflows to support growth across teams and regions
Advise leadership on business risk, governance, and compliance with a practical, business‑first approach
Collaborate cross‑functionally with Finance, Product, Engineering, Revenue, IT, and Marketing to proactively identify legal risk and enable execution
Qualifications
Juris Doctor (JD) from an accredited law school; active bar membership
7–10+ years of progressive legal experience, ideally a blend of law firm and in‑house roles
Strong experience in SaaS or technology contracting, commercial transactions, and compliance
Knowledge of corporate governance, employment law, and data privacy requirements
Prior exposure to M&A activities and private equity environments is a plus
Excellent communication skills, with the ability to simplify complex legal concepts for business partners
Proven ability to build scalable legal processes in a growing, fast‑paced environment
High integrity, strong business judgment, and a pragmatic, solutions‑first mindset
Knowledge of employment law and regulatory compliance best practices
